About this document

This page explains the rules and practices that apply when you use WupHub. Read the sections relevant to your use of the platform and contact us if anything needs clarification.

01

Agreement and eligibility

These Terms of Service govern access to and use of WupHub. By creating an account, accepting an invitation or using the service, you agree to these terms on behalf of yourself and, where applicable, the organization you represent.

You must be legally able to enter into this agreement. If you use WupHub for an organization, you confirm that you have authority to bind that organization.

02

Accounts and workspaces

You are responsible for accurate account information, protecting login credentials and activity under your account. Workspace owners control membership, roles, connected channels and workspace data. Notify us promptly if you suspect unauthorized access.

03

The WupHub service

WupHub provides tools for customer conversations, contacts, campaigns, social engagement and automation. Features may vary by plan, region, connected platform and the permissions granted by third-party providers.

We may improve, modify or discontinue features. When a material change affects paid use, we will provide notice where reasonably possible.

04

Connected services

WupHub can connect with services operated by third parties, including messaging, social, email, AI and authentication providers. Your use of those services remains subject to their terms and policies. You authorize WupHub to exchange data with a connected service only as needed to provide the actions you configure.

We are not responsible for changes, outages, restrictions or account decisions made by a third-party provider.

05

Customer data and permissions

You retain rights in data you submit to WupHub. You grant WupHub the limited rights needed to host, process, transmit and display that data to operate and improve the service.

You are responsible for having the permissions, notices and lawful basis needed to collect customer data, connect accounts, send messages, use AI features and instruct WupHub to process information.

06

Responsible messaging

You must honor consent, opt-out requests, quiet hours, platform rules and applicable communications laws. You may not use WupHub for spam, deceptive messaging, purchased lists or prohibited content. Our Acceptable Use Policy and Anti-Spam Policy form part of these terms.

07

Plans, fees and taxes

Paid plans, usage limits, billing periods and renewal terms are shown when you subscribe. Unless otherwise stated, charges are non-refundable except where required by law. You are responsible for applicable taxes and for charges generated by connected providers under your own provider accounts.

08

Ownership and feedback

WupHub and its licensors own the service, software, design and related intellectual property. These terms provide a limited, non-exclusive, non-transferable right to use the service during your subscription. If you provide feedback, we may use it without restriction or obligation.

09

Suspension and termination

You may stop using WupHub at any time. We may restrict or suspend access when reasonably necessary to prevent harm, address non-payment, comply with law, respond to a platform requirement or investigate a material breach. We may terminate access for serious or repeated violations.

Before closing a workspace, export information you need where export tools are available. Deletion requests are handled under our User Data Deletion process.

10

Disclaimers and liability

To the extent permitted by law, WupHub is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted operation, message delivery, third-party platform availability or that automations will produce a particular business result.

To the extent permitted by law, WupHub will not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Any aggregate liability will not exceed the amount paid for WupHub during the twelve months before the event giving rise to the claim.

11

Indemnity and disputes

You will defend and indemnify WupHub against third-party claims arising from your customer data, messaging practices, connected accounts or violation of these terms, to the extent permitted by law.

Before starting a formal dispute, each party agrees to make a reasonable effort to resolve the issue by contacting the other party. Mandatory rights and remedies available under applicable law are not excluded.

12

Changes and contact

We may update these terms. If a change is material, we will provide reasonable notice through the service, by email or on this page. Continued use after the effective date means you accept the updated terms.
